Definitions

For the purposes of these Terms:

• NGC: NGC — The Crown Society, including its website and applicable services.
• Crown Member: A woman whose membership application has been approved and whose membership is active.
• Patron: An individual who funds a Crown Member's membership under the sponsorship model.
• Nominee: A woman invited or nominated to apply for membership.
• Active Membership: A membership currently entitled to the applicable active membership services.
• Living Portrait: The magazine-style personal profile provided to a Crown Member.
• Chapter: Member-created editorial content forming part of a Living Portrait.
• Crown Directory: The optional member discovery service.
• Crown Request: An eligible request for a facilitated social or professional introduction.
• Crown Edition: The official editorial publication produced by NGC.

Nature of NGC

NGC is a private membership platform intended to combine recognition, personal storytelling, community, curated content, and opportunities for meaningful introductions.

NGC is not a dating service, employment agency, investment service, financial institution, or guarantee of social or professional success.

Membership does not represent ownership, equity, a financial asset, or an investment in NGC.

Membership does not guarantee social status, celebrity access, media coverage, personal relationships, business transactions, or specific outcomes.

The membership experience and services are governed by these Terms and any applicable service-specific conditions.

Eligibility & Age Requirements

Crown Membership is intended for women aged 18 or older.

Patrons must also be at least 18 years old and legally capable of entering into the relevant payment agreement.

Applicants must provide accurate information and comply with applicable law.

NGC may request reasonable information necessary to verify eligibility, prevent impersonation, or protect platform integrity, subject to applicable privacy laws.

Users must not create accounts using another person's identity or provide false sponsorship information.

NGC may restrict access where required by applicable law, payment restrictions, or legitimate safety concerns.

The Nomination & Invitation Process

A prospective Patron may nominate a woman for consideration or send her a personal invitation to apply.

A nomination does not create an active membership or guarantee admission.

The nominated woman independently decides whether to accept the invitation and submit an application.

Patrons must not use nominations to harass, pressure, impersonate, or repeatedly contact someone who does not wish to participate.

NGC may reject or withdraw a nomination where reasonably necessary for safety, legality, or platform integrity.

Membership Applications & Approval

Submission of an application does not guarantee acceptance.

NGC may assess applications against published eligibility, conduct, verification, and membership capacity criteria.

Admission decisions must comply with applicable anti-discrimination, consumer, and other relevant laws.

NGC may request clarification or additional information before making a decision.

A membership becomes active only when the applicant has been approved, required terms have been accepted, and the applicable sponsorship payment has been successfully authorized and processed.

If an application is not approved, no membership is created.

Where a payment has been collected before approval in error, it must be addressed under applicable law and payment terms.

The 10,000-Member Limit

NGC is designed to accommodate a maximum of 10,000 active Crown Members at any one time.

This limit applies to active memberships, not the cumulative number of women who have ever participated.

Inactive, expired, or terminated memberships may cease to occupy an active membership place.

NGC may introduce waiting lists or phased admission processes when capacity is limited.

NGC must not knowingly misrepresent actual membership capacity or availability.

Founding Member designations, where offered, are subject to the applicable published eligibility criteria.

Crown Membership Benefits

An active Crown Member may receive access to the membership services made available under her applicable plan.

• A personal Crown membership number.
• A digital membership identity or certificate.
• A magazine-style Living Portrait.
• The ability to create personal Chapters.
• Optional participation in the Crown Directory.
• Eligible Crown Request services.
• Access to selected digital editorial content.
• Opportunities to submit stories for editorial consideration.
• Access to eligible events and Crown Encounters.
• Physical membership materials where included and available.

The precise benefits, availability, eligibility rules, and limitations should be disclosed before payment.

Some services may be subject to reasonable capacity, scheduling, geographic, or technical limitations.

NGC does not guarantee that every benefit will be available continuously or in every jurisdiction.

The Patron Relationship

Under the NGC sponsorship model, a Patron voluntarily funds the membership of a Crown Member.

The Patron may be a spouse, partner, friend, family member, or another eligible individual.

The sponsorship does not establish a romantic relationship, employment relationship, agency relationship, guardianship, or ownership interest in the Crown Member.

A Patron does not acquire rights to access private messages, private profile information, personal correspondence, or confidential membership activity.

The Patron may receive a private account, payment management tools, a digital Patron certificate, and specific Patron services as offered by NGC.

Patron status does not constitute Crown Membership or create a public Crown Member profile.

A Patron must not use sponsorship as a means of coercion, harassment, surveillance, or unwanted control.

Membership Fees & Recurring Billing

The proposed standard sponsorship price is US $99 per month for one sponsored Crown Membership, unless a different price is clearly presented and accepted during checkout.

The Patron is responsible for payment under the subscription agreement.

The Crown Member is not automatically liable for a Patron's payment obligations.

Recurring Authorization

By purchasing a recurring sponsorship, the Patron authorizes the applicable payment provider to charge the agreed subscription amount at the disclosed billing frequency until cancellation or termination.

Checkout must clearly disclose the amount, currency, renewal frequency, taxes or additional charges where applicable, and cancellation procedure before payment authorization.

Currency & Taxes

Prices may be displayed in US dollars. Currency conversion charges or exchange rate differences may be applied by payment providers or financial institutions.

Applicable taxes and mandatory charges must be disclosed as required by law.

Payment Failure

If a recurring payment fails, NGC may notify the Patron and allow a reasonable opportunity to update payment details.

Payment failure may affect the sponsored membership according to the applicable grace period rules.

Price Changes

Changes to recurring subscription prices must be communicated in advance as required by applicable law and the subscription agreement.

Where renewed authorization or consent is required, NGC must obtain it before charging the changed amount.

Cancellation, Renewal & Refunds

A Patron may request cancellation of future recurring sponsorship charges through the available account controls or another clearly disclosed cancellation channel.

Cancellation generally prevents future renewal charges after the effective cancellation date.

Unless a refund or earlier termination is required by law or expressly agreed, a paid membership remains active through the applicable paid billing period.

Refund eligibility may depend on the applicable law, timing of cancellation, whether services have begun, the relevant checkout disclosures, and the circumstances of the request.

NGC will process refunds required by law and any additional refunds promised under its published policy.

Unauthorized or duplicate charges should be reported promptly through the official support channel.

The Patron may not use cancellation to obtain control over the Crown Member's personal data or account.

The 30-Day Grace Period

Under the proposed membership model, when a sponsorship ends, the Crown Membership remains active until the end of the period already paid.

After that period, a 30-day grace period may apply during which the Crown Member can arrange an eligible replacement Patron.

During the grace period, access to premium services may be limited or suspended according to the applicable membership rules disclosed to users.

If no eligible sponsorship is established by the end of the grace period, the membership may become inactive.

An inactive member's personal membership number may remain reserved, while access to active membership services is suspended.

Personal content may be retained in a private archive according to the Privacy Policy, applicable retention rules, and user rights.

Members may request access, export, or deletion of eligible personal data subject to applicable law.

The ending of a Patron's sponsorship does not transfer ownership of the member's content or identity.

Membership Numbers & Physical Cards

NGC may assign each approved Crown Member a unique membership number, such as NGC — 0088.

The number serves as a membership identifier and does not represent a financial asset, transferable property, or monetary value.

Membership numbers are not intended to be sold, traded, or transferred between individuals.

Where included in the membership offering, a physical metal membership card may be produced and shipped to the member.

Card production and delivery may depend on verification, shipping availability, customs requirements, and operational circumstances.

Before purchase, NGC should clearly disclose whether a physical card is included, any additional shipping charges, and the expected delivery arrangements.

Any mandatory consumer rights concerning delayed, missing, damaged, or defective goods remain applicable.

The Living Portrait & Chapters

The Living Portrait is a magazine-style personal profile intended to allow a Crown Member to present selected aspects of her story, interests, experiences, and achievements.

Members may create Chapters containing photographs, written descriptions, and other supported content.

A member is not required to publish Chapters regularly in order to maintain membership, unless a separate specific service clearly requires certain information.

Members are responsible for the accuracy and lawfulness of content they submit.

Profile visibility is governed by the privacy settings and audience controls actually available on the platform.

Publicly accessible content may be copied, indexed, or shared by third parties.

NGC cannot guarantee removal of independent copies created outside its control.

Member Content & Licenses

Members retain their rights in original photographs, written stories, and other content they lawfully create and submit.

By uploading content to NGC, a member grants NGC a non-exclusive, worldwide, royalty-free license to host, store, reproduce, format, display, and technically process that content as reasonably necessary to provide the requested platform services.

This license is limited to operating and delivering the relevant service and does not automatically authorize unrelated advertising or commercial endorsement.

Separate permission may be required for external advertising, promotional campaigns, or editorial uses outside the member's selected publication arrangements.

Users must not upload content that infringes copyright, privacy, publicity, confidentiality, or other rights.

Users should obtain necessary permissions from people appearing in their photographs or stories.

NGC may remove or restrict unlawful or rights-infringing content following an appropriate review.

Requests to remove content will be handled according to applicable law, technical feasibility, and legitimate retention requirements.

The Crown Directory

The Crown Directory is intended to help eligible members discover other participating members through selected information such as interests, location, or professional background.

Participation is subject to the privacy and visibility controls made available by NGC.

Users must respect the stated visibility and contact preferences of other members.

Directory access does not authorize scraping, harvesting, mass messaging, unsolicited advertising, or unauthorized data collection.

NGC does not guarantee the accuracy of every statement made by members.

Members should exercise appropriate judgment when deciding whether to contact or meet another person.

The Crown Request Service

Where available, an active Crown Member may submit one eligible introduction request per monthly membership period.

The request may concern a potential social, professional, creative, or interest-based connection.

NGC may review requests and explore suitable opportunities among individuals who have agreed to participate.

An introduction will be facilitated only where the relevant individuals agree to the proposed contact or information sharing.

NGC may reject requests involving harassment, inappropriate conduct, illegal activity, conflicts of interest, or privacy concerns.

A Patron may receive a separate Patron Request benefit if specifically offered under the applicable sponsorship plan.

Patron Requests, if available, are limited to the eligible Patron network and do not create rights to contact Crown Members.

NGC should publish the applicable request response period before offering this benefit as a contractual service.

The Crown Edition & Legacy

NGC may produce a periodic digital publication known as The Crown Edition.

The editorial team may invite or accept member submissions for potential publication.

Selection is discretionary and may consider originality, storytelling, relevance, editorial quality, and diversity of subject matter.

Membership does not guarantee publication, an interview, a cover feature, or a particular editorial placement.

Publication may require additional permissions and editorial review.

NGC may edit submitted materials for length, clarity, formatting, or legal compliance, subject to any agreed editorial permissions.

The Crown Legacy service, where available, may generate a digital summary from content selected by the member.

Editorial publication and archived content may be subject to separate retention and removal arrangements.

The Crown Encounters & Events

NGC may offer online conversations, masterclasses, interviews, cultural experiences, and physical events.

Events may feature invited speakers, entrepreneurs, artists, public figures, and other guests.

Participation may require advance registration and may be limited by capacity, eligibility, scheduling, or location.

Specific guests, speakers, dates, and event formats are not guaranteed unless expressly confirmed for a particular event.

NGC may reschedule, modify, or cancel events due to circumstances such as speaker unavailability, safety concerns, technical problems, or events beyond reasonable control.

Where an event has a separate admission fee, applicable refund and cancellation terms must be disclosed before purchase.

Event recordings may be made where participants receive appropriate notice and required permissions are obtained.

Access to recordings may depend on licensing rights, guest agreements, and membership eligibility.

Members must comply with applicable event conduct and safety rules.

Member Conduct & Safety

NGC expects users to treat one another with respect and comply with applicable law.

The following conduct is prohibited:

• Harassment, threats, stalking, or intimidation.
• Coercion or pressure connected to sponsorship.
• Impersonation or fraudulent representation.
• Unauthorized disclosure of private information.
• Non-consensual publication of images or communications.
• Scams, deceptive financial requests, or unlawful solicitation.
• Discriminatory abuse or targeted hateful conduct.
• Infringement of intellectual property rights.
• Unauthorized scraping, data harvesting, or mass messaging.
• Attempting to bypass account access or security controls.
• Using NGC services for unlawful purposes.

NGC may investigate reports and take proportionate action, including warnings, content restrictions, suspension, or termination.

Where appropriate, users should have a reasonable way to challenge moderation decisions, subject to safety and legal requirements.

NGC does not guarantee that every member has been independently background-checked.

Users are responsible for taking appropriate personal precautions when communicating with or meeting others.

Accounts, Passwords & Access

Users must maintain accurate account information and protect their login credentials.

Account holders should not share passwords or permit unauthorized access.

Users should promptly notify NGC of suspected unauthorized access or account compromise.

NGC may implement security controls and temporarily restrict access where reasonably necessary to protect accounts and platform integrity.

A Patron account and a Crown Member account are separate.

Sponsorship does not entitle the Patron to the member's password, login session, or private account data.

Privacy & Personal Information

Personal information is handled according to applicable law and the NGC Privacy Policy.

Users should review the Privacy Policy to understand the categories of information processed, relevant purposes, disclosures, retention, and applicable privacy rights.

Use of the website may also involve cookies or similar technologies as described in the Cookie Policy.

Membership sponsorship does not transfer the Crown Member's privacy rights to the Patron.

Intellectual Property & Brand Rights

Subject to third-party and member-owned rights, NGC's names, logos, visual identity, original website designs, editorial materials, and proprietary content belong to NGC or its licensors.

Users receive a limited, personal, non-exclusive, non-transferable right to access the relevant services in accordance with these Terms.

This right does not authorize copying, resale, commercial exploitation, or unauthorized distribution of NGC materials.

Members may share their own profile links and permitted personal content, subject to privacy settings and third-party rights.

Use of NGC branding in unrelated commercial promotions requires appropriate permission.

Service Availability & Changes

NGC may update its website, improve features, introduce new services, or discontinue features for legitimate operational, legal, security, or commercial reasons.

NGC will use reasonable efforts to maintain service availability but cannot promise uninterrupted operation.

Temporary interruptions may occur due to maintenance, upgrades, third-party outages, or technical incidents.

Material changes affecting paid contractual benefits should be communicated appropriately and handled in accordance with applicable consumer law.

NGC may amend these Terms prospectively, subject to legally required notice, consent, and termination rights.

Changes do not remove rights that cannot legally be waived.

Disclaimers & Limitation of Liability

NGC provides a membership platform and related services. It does not guarantee that members will achieve particular personal, professional, financial, social, or reputational outcomes.

NGC does not guarantee the conduct, reliability, identity, qualifications, or intentions of every other user or third party.

Members are responsible for exercising appropriate judgment when entering personal or professional relationships.

To the maximum extent permitted by applicable law, NGC is not responsible for losses caused solely by independent acts of third parties outside its reasonable control.

Nothing in these Terms excludes or limits liability where doing so would be unlawful, including liability that cannot legally be excluded under applicable consumer protection laws.

Nothing in these Terms limits rights or remedies that mandatory law provides to consumers.

Complaints, Disputes & Governing Law

Users are encouraged to contact NGC first to raise questions, billing concerns, complaints, or disputes.

NGC should provide an accessible method for submitting complaints and should respond within applicable legal requirements and reasonable operational timeframes.

Where a dispute cannot be resolved informally, the parties retain the rights and remedies available under applicable law.

The governing law and jurisdiction provisions must be finalized based on the actual legal operating entity, its place of establishment, target markets, and applicable consumer protection rules.

No mandatory arbitration, class-action waiver, or exclusive court provision is imposed by this draft.

General Terms & Contact

Entire Agreement

These Terms, together with applicable checkout disclosures, membership-specific terms, and referenced policies, govern the relevant service relationship.

Where documents conflict, mandatory law prevails, and any applicable order of precedence should be clearly disclosed.

Severability

If a provision is held invalid or unenforceable, the remaining provisions continue to apply to the extent permitted by law.

No Waiver

A delay or failure to enforce a right does not necessarily waive that right.

Assignment

Users may not transfer membership rights to another individual without appropriate authorization.

Any transfer of NGC's contractual rights or obligations must comply with applicable law and relevant user protections.

Official Communications

NGC may provide legally permitted notices through account notifications, email, or other agreed communication channels.
