1. ACCEPTANCE OF TERMS

By accessing, browsing, registering for, or using the Nexus Gold Circle website and its associated services, features, content, or applications (collectively, the “Platform”), you (“User”, “Member”, or “You”) agree to be bound by these Terms of Use (“Terms”). If you do not agree to all of these Terms, you are expressly prohibited from using the Platform and must discontinue use immediately.

We reserve the right to suspend or terminate any account that contains inaccurate, misleading, or fraudulent information.

3. MEMBERSHIP AND ACCESS LEVELS

3.1 Tiered Access

3.2 Subscriptions and Payments

  • Fees: All applicable fees for paid memberships, event entries, or advertising services are specified on the Platform and are subject to change upon notice.

  • Billing: Payments are processed through secure third-party payment gateways. By subscribing, you authorize us to charge your selected payment method for the applicable recurring fees.

  • Refunds: All payments made to NGC are final and non-refundable, unless explicitly stated otherwise in writing or required by applicable consumer protection laws.

4. ADVERTISING AND SPONSORED CONTENT

4.1 Advertiser Obligations

Users or entities purchasing advertising placements, banner space, sponsored posts, or promotional packages on the Platform (“Advertisers”) agree that all promotional materials submitted must comply with applicable local and international laws, regulations, and industry standards.

4.2 Prohibited Content

Advertisers and Users agree not to post, submit, or transmit content that:

  • Is unlawful, defamatory, libelous, deceptive, or fraudulent.

  • Infringes upon any third-party intellectual property, privacy, or publicity rights.

  • Promotes illegal activities, hate speech, harassment, or violence.

  • Contains malicious software, viruses, Trojan horses, or unauthorized tracking codes.

4.3 Content Approval and Removal

NGC reserves the right, in its sole discretion, to review, edit, reject, or remove any advertisement or user submission at any time, with or without cause, and without prior notice.

5. INTELLECTUAL PROPERTY RIGHTS

5.1 Our Property

All content on the Platform—including but not limited to logos, trademarks, branding, text, graphics, user interfaces, code, software, designs, and audio/video materials—is the exclusive property of Nexus Gold Circle or its licensors and is protected by intellectual property laws. You may not copy, reproduce, distribute, modify, create derivative works from, or publicly display any part of the Platform without prior written permission.

5.2 User-Generated Content

By submitting content, posts, comments, or media to public or membership areas of the Platform, you grant NGC a non-exclusive, worldwide, royalty-free, perpetual, and transferable license to use, display, reproduce, and distribute such content in connection with operating and promoting the Platform.

6. PROHIBITED CONDUCT

You expressly agree not to engage in any of the following activities:

  • System Interference: Using automated scripts, bots, scrapers, or tools to access, monitor, or extract data from the Platform without authorization.

  • Security Subversion: Attempting to probe, scan, test the vulnerability of, or breach any security or authentication measures implemented on the Platform.

  • Account Abuse: Sharing, selling, or transferring your membership credentials to non-registered third parties.

  • Unsolicited Communications: Sending unsolicited promotional messages, spam, or mass communications to other members.

  • Impersonation: Falsely claiming association with or representing NGC, its affiliates, or another user.

7. DISCLAIMERS AND LIMITATION OF LIABILITY

7.1 “As-Is” Provision

The Platform, its content, and services are provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

7.2 No Operational Guarantee

We do not warrant that:

  • The Platform will function uninterrupted, securely, or error-free at all times.

  • Defects or bugs will be corrected immediately.

  • The servers hosting the Platform are entirely free of viruses or harmful components.

7.3 Limitation of Liability

To the fullest extent permitted by law, Nexus Gold Circle, its owners, directors, employees, partners, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages—including loss of profits, data, goodwill, or business interruption—arising out of or related to your use of or inability to use the Platform.

8. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Nexus Gold Circle, its officers, affiliates, and employees from and against any claims, liabilities, damages, judgments, losses, costs, or expenses (including reasonable attorney’s fees) resulting from:

  1. Your breach of these Terms.

  2. Your violation of any third-party rights (including intellectual property or privacy rights).

  3. Any content or advertising materials submitted under your account.

9. TERMINATION

We reserve the right to suspend or terminate your access to the Platform, cancel your membership, or remove your account at our sole discretion, without prior notice, if you breach any provision of these Terms or engage in conduct detrimental to the NGC community or operations.

Upon termination, your right to access membership areas and promotional features will cease immediately.

10. GOVERNING LAW AND JURISDICTION

These Terms shall be governed by and construed in accordance with the laws of the State of Israel, without regard to its conflict of law principles. Any legal action or dispute arising under these Terms shall be subject to the exclusive jurisdiction of the competent courts located in Tel Aviv, Israel.
